Soteclife Online E-Mall and APP Service Terms
1. Core Definitions
1.1 "Platform" means Soteclife’s B2B e-commerce platform, including the web version, mobile-adapted version, mobile application (APP), and supporting services such as servers, software systems, and customer support.
1.2 "User" refers to legally registered corporate entities, unincorporated organizations, or other authorized business entities conducting transactions on the Platform (including buyers and sellers), who have completed registration and agreed to these Terms.
1.3 "Services" include account management, commodity release, order processing, secure payment, logistics resource connection, transaction data inquiry, technical support, and after-sales coordination provided by the Platform.
1.4 "Commodities" refer to all tradable items (including goods, raw materials, semi-finished products, technical services, and intellectual property licenses) released and traded on the Platform, which must comply with national laws, regulations, industry standards, and Platform rules.
1.5 "Confidential Information" means non-public business data, technical information, transaction records, and operational materials exchanged between the Platform and Users during cooperation, which have commercial value.
2. Service Activation & Account Management
2.1 Users must complete the Platform’s registration process by submitting true, accurate, and valid qualification documents (including business license, legal representative’s identification, relevant industry operation permits, and authorization certificates if applicable). The Platform reserves the right to review registration materials; registration takes effect only after successful verification. If Users provide false, outdated, or incomplete information, the Platform may reject the application, suspend account functions, or terminate Services without prior notice.
2.2 Users shall set a secure password and take reasonable measures to protect account confidentiality. Users are fully responsible for all activities conducted through their registered accounts (including order placement, payment, and agreement signing). In case of account theft, password leakage, or unauthorized use, Users must immediately notify the Platform via service@sotechlife.com and cooperate with identity verification. The Platform shall not be liable for losses caused by improper account management by Users.
2.3 The Platform may modify, upgrade, or temporarily suspend Services for system maintenance, technical optimization, or compliance with regulatory requirements. For planned service interruptions, the Platform will notify Users at least 48 hours in advance via in-app messages, email, or Platform announcements. Emergency suspensions (due to force majeure or system failures) will be communicated as soon as possible, and Services will be restored promptly.
3. Key Rights & Obligations
3.1 Platform Obligations:
Maintain stable and secure operation of the Platform, continuously optimize Service functions, and ensure normal access to core transaction features.
Protect User data security and privacy in accordance with applicable laws; shall not disclose, sell, or lease User information to third parties without explicit consent, except as required by legal procedures or regulatory authorities.
Review commodity information and transaction behaviors to remove content that violates laws, regulations, or Platform rules (such as counterfeit products, prohibited items, or false advertisements) in a timely manner.
Provide professional technical support and customer service during business hours (Monday to Friday, 9:00-18:00 GMT+8), responding to User inquiries and complaints within 24 working hours via service@sotechlife.com.
3.2 User Obligations:
Ensure the authenticity, accuracy, and completeness of registration information and commodity details (including descriptions, specifications, prices, and images), and update relevant information promptly when changes occur.
Comply with national laws, regulations, and these Terms; shall not engage in illegal activities such as selling counterfeit and shoddy goods, infringing intellectual property rights, conducting fake transactions, manipulating prices, or hacking the Platform’s system.
Respect the intellectual property rights of the Platform and other Users; shall not copy, modify, or use the Platform’s logos, software, or content without authorization, nor post content that infringes third-party copyrights, trademarks, or patents.
Keep Confidential Information obtained from the Platform confidential; shall not disclose or use it for purposes other than authorized transactions without prior written consent from the Platform.
Cooperate with the Platform’s legitimate supervision, including providing transaction verification materials or relevant certificates when required for compliance checks.
4. Intellectual Property & Confidentiality
4.1 Soteclife is the exclusive owner of all intellectual property rights related to the Platform, including but not limited to copyrights of software, trademarks, service marks, and design patents. Users shall not use, reproduce, or modify the Platform’s intellectual property without written authorization.
4.2 Users warrant that the commodity information, images, and texts they post on the Platform do not infringe the intellectual property rights of any third party. If a third party claims infringement, Users shall independently handle the dispute, bear all related costs (including compensation, legal fees, and attorney fees), and indemnify the Platform for any losses incurred.
4.3 Both parties shall strictly protect each other’s Confidential Information and take necessary security measures (such as restricting access to authorized personnel only). The confidentiality obligation shall survive the termination of these Terms and remain in effect until the information becomes public through legal means.
5. Liability for Breach
5.1 Any party that fails to perform its obligations under these Terms shall be liable for breach, including compensating the non-breaching party for direct economic losses and reasonable expenses incurred to safeguard rights.
5.2 If Users violate these Terms (such as providing false information, illegal transactions, intellectual property infringement, or disrupting Platform operations), the Platform may take graduated measures: (a) Issue a written warning and require correction within 3 working days; (b) Restrict account functions (such as commodity release or order placement); (c) Suspend the account for 7-30 days for rectification; (d) Terminate Services and permanently cancel the account for serious violations.
5.3 The Platform shall not be liable for indirect losses (such as loss of business opportunities, expected profits) caused by Service interruptions or delays due to force majeure (natural disasters, wars, policy changes, network failures) or unforeseen technical issues, provided that the Platform has taken reasonable mitigation measures.
5.4 If the Platform is held liable for damages to Users due to intentional misconduct or gross negligence, the compensation shall be limited to the direct economic losses actually suffered by the User, not exceeding the total transaction volume of the User on the Platform in the past 3 months.
6. Dispute Resolution
6.1 These Terms shall be governed by the laws of the People’s Republic of China, excluding conflict of laws principles.
6.2 Any dispute arising from the performance of these Terms or Platform transactions shall first be resolved through friendly negotiation between the parties. If negotiation fails within 15 working days after either party sends a negotiation notice, either party may submit the dispute to the China International Economic and Trade Arbitration Commission (CIETAC) for arbitration in accordance with its current effective rules.
6.3 The arbitration shall be conducted in Beijing, with English as the arbitration language. The arbitral award shall be final and binding on both parties, and both parties shall execute the award within the specified time limit.
7. Miscellaneous
7.1 These Terms take effect on the date when Users complete registration and click "Agree" on the Platform. Continued use of Platform Services after registration constitutes full acceptance of all provisions herein.
7.2 The Platform may revise these Terms in response to legal updates or business adjustments. Revised Terms will be posted on the Platform with a 7-day notice period. If Users do not agree to the revisions, they may terminate Service use and cancel their accounts; continued use after the effective date of revisions shall be deemed acceptance.
7.3 If any clause of these Terms is deemed invalid or unenforceable due to non-compliance with laws or judicial decisions, the validity of other clauses shall remain unaffected. The invalid clause shall be replaced by a valid provision that best reflects the original intent of both parties.
7.4 All notices, inquiries, complaints, or formal communications between the parties shall be delivered via the registered email, mobile phone number, or the dedicated service email: service@sotechlife.com. Notices sent by the Platform shall be deemed delivered when dispatched; notices from Users shall be deemed delivered when received by the Platform.
7.5 These Terms constitute the entire agreement between the parties regarding the use of Platform Services, superseding all prior oral or written understandings and agreements related to the subject matter herein.
